§2 - Service Description

Services Included:

• Package 1 ($450.00): Delaware LLC Registration and Filing
• Package 1: 1 Year Free Registered Agent Service
• Package 1: Stripe Atlas Account Setup
• Package 1: Payment Management through Stripe Atlas
• Package 2 ($150.00): 70K Fee-free Stripe Processing in USD Currency
• Package 2: Enhanced Payment Processing Capabilities
• Package 2: Priority Customer Support for Payment Issues

Important Notice: HeavenMark acts as a third-party registrar and agent for the customer. We take no responsibility for legal consequences that may arise between the customer and any entities. The customer is advised to independently research the legal and tax implications of Delaware LLC registration.

§3 - Payment Terms

Installment Breakdown:

Payment Agreement:

The customer agrees to make payments according to the following schedule:

• 1st Installment: USD $450.00 on or before 20/06/2025 for Delaware LLC Registration
• 2nd Installment: USD $150.00 on or before 20/07/2025 for 70K Fee-free Stripe Processing

Total Contract Value: USD $600.00

Late Payment Policy:

Failure to pay the agreed amount by the due date will result in a late fee of $15.00 per day for up to 14 days. If payment is not received within 14 days after the due date, HeavenMark reserves the right to take legal action, and the customer will be responsible for all legal fees and additional costs that may arise.

Data Sharing Agreement:

The customer agrees to share their personal and business data with HeavenMark as necessary to process the company registration. This data will be used solely for the purpose of completing the registration process and will be handled in accordance with applicable privacy laws.

§4 - Service Delivery Timeline

Upon receipt of payment, HeavenMark will initiate the Delaware LLC registration process within 5 business days.

Important Processing Notice: The company registration takes anywhere from 2 days up to 4 weeks depending on the US Government Delaware processing of the documents, and Stripe Atlas processing. Processing times are subject to government workload and cannot be guaranteed by HeavenMark.

Estimated Timeline:

• Day 1-5: Document preparation and submission to Delaware Division of Corporations
• Day 6-28: US Government Delaware processing and Stripe Atlas processing (2 days to 4 weeks)
• Upon Approval: Registered agent activation and account setup
• Final Step: Delivery of all registration documents and account access

Note: HeavenMark will provide regular updates on the processing status and notify the customer immediately upon completion.

§5 - Responsibilities and Limitations

HeavenMark Responsibilities:

• Prepare and file all necessary Delaware LLC formation documents
• Provide registered agent services for one year
• Set up and configure Stripe Atlas account
• Provide customer support during the registration process

Customer Responsibilities:

• Provide accurate and complete information for registration
• Make payment by the agreed due date
• Comply with all Delaware state requirements and regulations
• Maintain registered agent services after the first year

Limitations of Liability:

HeavenMark's liability is limited to the service fee paid. We are not responsible for any business decisions, tax implications, or legal consequences arising from the LLC formation or operation.

§6 - Intellectual Property and Confidentiality

All documents, processes, and methodologies used by HeavenMark in providing the registration services remain the intellectual property of HeavenMark.

Customer information will be kept confidential and used solely for the purpose of company registration. HeavenMark will not share customer data with third parties except as required for the registration process or by law.

Upon completion of services, all customer documents will be securely stored for a period of 7 years as required by law.

§7 - Termination and Refund Policy

This contract may be terminated by either party with written notice under the following conditions:

• By Customer: Before document submission to Delaware - full refund minus $50 processing fee
• By Customer: After document submission - no refund available
• By HeavenMark: For non-payment or breach of contract terms - no refund
• By HeavenMark: For reasons beyond our control (state rejection, etc.) - full refund

§8 - Dispute Resolution

Remote Contract Notice: This contract is executed remotely between HeavenMark (Hamburg, Germany) and the Customer (Istanbul, Turkey).

Any disputes arising from this contract shall be resolved through binding arbitration in Hamburg, Germany, under German law. The customer acknowledges that this is an international service contract and agrees to German jurisdiction.

The customer agrees that any legal proceedings must be initiated within 12 months of the completion of services or the termination of this contract.

Alternative Dispute Resolution: Prior to formal arbitration, both parties agree to attempt resolution through good faith negotiations via video conference or other remote communication methods.

§9 - Additional Terms and Conditions

§10 - Severability Clause

If any provision of this contract is found to be invalid or unenforceable, the remaining provisions shall continue to be valid and enforceable. The invalid provision shall be replaced by a valid provision that most closely approximates the intent of the original provision.

§11 - Governing Law

This contract is governed by the laws of Germany. Any disputes shall be subject to the jurisdiction of German courts, specifically the courts of Hamburg.

By signing this contract, both parties acknowledge that:

• Legal Binding: This contract constitutes a legally binding agreement between HeavenMark and the Customer.
• Full Understanding: Both parties have read, understood, and agree to all terms and conditions outlined in this contract.
• Accurate Information: All information provided is true, accurate, and complete to the best of each party's knowledge.
• Digital Signatures: Digital signatures are legally equivalent to handwritten signatures and are binding.
• Jurisdiction: This contract is governed by German law and Hamburg jurisdiction as specified in §11.
• Service Limitations: HeavenMark acts as a third-party registrar and is not responsible for legal or tax consequences.
• Payment Obligations: The Customer is legally obligated to make payments according to the specified schedule.
